Terms of Use

Effective Date: January 1, 2026

These Terms of Use (“Terms”) govern access to and authorized use of the Verifent website, including without limitation www.verifent.com and all related pages, content, and subdomains (collectively, the “Website”). The Website is owned and operated by Coal Creek Software, Inc., doing business as Verifent (“Verifent,” “we,” “us,” or “our”).

By accessing or using the Website, you (“User”) agree to be legally bound by these Terms. If you do not agree, you must not access or use the Website.

Products or services ordered, accessed, or used through the Website are governed by separate agreements, statements of work, or terms of service applicable to such products or services, whether or not a fee is charged. Additional proprietary notices and copyright information may appear elsewhere on the Website and are incorporated herein by reference.

1. SERVICES

Certain products and services made available through the Website (“Services”) may be subject to additional terms, conditions, forms, certifications, or agreements, including Verifent’s Privacy Policy and customer contracts. In the event of a conflict, the applicable service agreement shall control.

2. CHANGES AND MODIFICATIONS

Verifent reserves the right, in its sole discretion, to modify, amend, add to, or remove any portion of these Terms at any time. Updated Terms will be posted on the Website with a revised effective date. User’s continued access to or use of the Website following such posting constitutes acceptance of the revised Terms. Users are responsible for reviewing these Terms periodically.

3. WEBSITE AVAILABILITY

Due to the nature of the Internet and online communications, the Website may be unavailable, interrupted, or fail to operate as intended. Verifent does not warrant that the Website will be uninterrupted, error-free, or secure. Verifent will use commercially reasonable efforts to maintain Website availability but disclaims any obligation to do so.

 

4. PRIVACY

Verifent’s collection, use, and handling of information obtained through the Website is governed by its Privacy Policy, which is incorporated herein by reference.

5. FAIR CREDIT REPORTING ACT OBLIGATIONS

Users who access, request, obtain, or use consumer information subject to the Fair Credit Reporting Act (“FCRA”), 15 U.S.C. §1681 et seq., through Verifent represent and warrant that:

(a) they have a permissible purpose as defined under FCRA Section 604;
(b) they have obtained all required consumer authorizations or consents;
(c) they will use such information solely for the permissible purpose for which it was obtained; and
(d) they will comply with all applicable federal, state, and local laws, rules, and regulations.

Users obtaining or using consumer reports acknowledge their obligations under FCRA Section 615, including the obligation to provide an Adverse Action Notice when taking adverse action based in whole or in part on information obtained from a consumer report.

Information regarding applicable consumer reporting obligations is available from the Consumer Financial Protection Bureau. Users are encouraged to review the CFPB’s Notice to Users of Consumer Reports.

6. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, all information, data, materials, and content available on or through the Website (“Information”) are provided “AS IS” and “AS AVAILABLE.” Verifent disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, and non-infringement.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Verifent or its affiliates be liable for any direct, indirect, incidental, consequential, special, punitive, emotional distress, or exemplary damages arising out of or relating to access to, use of, or reliance upon the Website, the Information, or any linked websites, including without limitation lost profits, business interruption, loss of data, or loss of programs, even if Verifent has been advised of the possibility of such damages.

8. INDEMNIFICATION

User agrees to indemnify, defend, and hold harmless Verifent and its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) User’s access to or use of the Website or Information;
(b) violation of these Terms;
(c) violation of applicable law; or
(d) infringement of any intellectual property or other rights of any third party.

9. CONFIDENTIALITY OF FEEDBACK

Any comments, suggestions, or other feedback submitted to Verifent through the Website (“Feedback”) shall be deemed non-confidential and non-proprietary. Subject to Verifent’s Privacy Policy, Verifent shall have no obligation with respect to such Feedback and may use, reproduce, disclose, and distribute the Feedback without restriction or compensation.

10. INTELLECTUAL PROPERTY RIGHTS

The Website and its contents, including without limitation trademarks, service marks, logos, trade names, designs, text, graphics, images, and software, are owned by or licensed to Verifent and are protected by applicable intellectual property laws. The mark “Verifent” is a registered trademark. Unauthorized use of any Verifent intellectual property is strictly prohibited. All rights not expressly granted are reserved.

11. LINKING POLICY

Users are granted a limited, revocable, non-exclusive right to create a hyperlink to the Website homepage at http://www.verifent.com, provided that such link does not portray Verifent or its affiliates in a false, misleading, or defamatory manner. Framing, mirroring, or embedding Verifent content, trademarks, or layout without express written consent is prohibited. No license is granted by implication, estoppel, or otherwise.

12. RESALE OF INFORMATION

Any resale, redistribution, or reuse of information obtained from Verifent must comply with these Terms and all applicable laws and regulations, including the FCRA.

13. THIRD-PARTY WEBSITES

The Website may contain links to non-Verifent websites. Verifent does not control and is not responsible for the content, security, or privacy practices of such websites. Access to third-party websites is at User’s own risk.

14. GOVERNING LAW

These Terms and any dispute arising out of or relating to the Website shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-laws principles.
